When a licensed online casino fails, the first question players, payment partners, and regulators ask is whether customer balances were still in the house. Segregation of player funds is not a slogan in a responsible-gaming PDF. It is a banking architecture, a chart of accounts, and a daily reconciliation that can be produced on short notice.
What “segregation” means in a licensing file
Regulators and acquiring banks want to see that money held for player wallets, pending withdrawals, and unpaid jackpots is legally and operationally distinct from working capital, affiliate commissions, and shareholder loans. Depending on the license conditions, that may be a dedicated trust or escrow account, a safeguarded client account with a Philippine bank, or ring-fenced accounts at an approved payment service provider (PSP) with a matching operator ledger.
The application should attach the bank letter, account numbers (redacted in public copies), signatory matrix, and the board resolution authorizing the structure. A screenshot of a fintech dashboard is not a legal control.
Trust language versus contractual safeguarding
A true trust or escrow usually needs a written instrument identifying the trustee or escrow agent, the beneficiaries (players as a class), permitted withdrawals, and what happens on insolvency or license cancellation. Contractual “safeguarding” with a PSP is weaker: it is a receivable from a vendor. Counsel should say so in the compliance manual rather than calling every wallet a trust. Overstating the legal form is a credibility problem in a show-cause hearing.
Where the license requires a Philippine bank, placing the float in an offshore EMI because “settlement is faster” can breach a condition even if the AML manual is otherwise tidy. Get the condition in writing and map every float account to it.
Reconciliation that an inspector can follow
Inspectors follow paper, not dashboards. A workable pack includes:
- Player-liability report from the gaming platform at a cut-off time (including bonus balances if they are withdrawable).
- Bank and PSP statements for the same cut-off.
- A bridge explaining in-flight deposits, chargebacks, and unmatched credits.
- Evidence that operating expenses were never paid from the player account.
- Exception logs when the platform and the bank disagree, with who signed off the variance.
Daily is better than monthly. Monthly-only reconciliation is how a three-week bonus campaign silently overdraws the float.
Insolvency and license-surrender scenarios
Conditions often require that player funds remain available if the operator surrenders the license, is suspended, or enters rehabilitation. That is hard to honor if the “segregated” account is also the payroll account. Boards should pass a standing resolution: no netting of operator debts against player balances, and a named officer who can freeze marketing spend if the coverage ratio falls below the licensed minimum.
Payment partners will ask the same questions PAGCOR asks. A BSP-supervised institution onboarding an iGaming merchant will want the segregation memo, the AML officer’s name, and sample reconciliations. Prepare one pack for both audiences.
