How Licensed Online Casinos Are Taxed in the Philippines

License fees are not the full tax stack. Franchise, income, VAT, and LGU assessments turn on the specific license and the latest BIR and court guidance.

A gaming license is a regulatory permission. It is not a tax holiday unless a statute or a current BIR issuance says so. Operators who budget only PAGCOR license fees and “GGR share” are regularly surprised by income tax, withholding, documentary stamp tax, and local government assessments—or by the opposite error: paying a tax the franchise was meant to replace, then fighting a refund for years.

Start from the license you actually hold

PAGCOR’s own operations and certain licensees have historically been discussed in terms of franchise tax “in lieu of” other taxes, but the Supreme Court and the Bureau of Internal Revenue have drawn lines between PAGCOR itself, its contractees, and third-party licensees. Those lines have moved through cases involving casinos, junket operators, and related service companies. Treat a 2010 blog post or a competitor’s term sheet as folklore until counsel maps your entity to the current charter, license instrument, and BIR rules.

CEZA and APECO locators sit under economic-zone fiscal incentives that are also not automatic. Incentives typically require registration, remaining a locator in good standing, and earning income from the registered activity. An online casino that books Philippine-source marketing services through a Manila affiliate may pull income out of the zone story.

Gross gaming revenue is not the only base

License conditions often impose a share of GGR or a similar metric payable to the regulator. That is a contractual or franchise payment, not a complete substitute for:

  • Corporate income tax on non-gaming income (platform services, brand licensing, interest).
  • Withholding on payments to non-resident game studios, affiliates, and consultants.
  • VAT or percentage tax on supplies that are not covered by a gaming exemption.
  • Local business tax and barangay clearances where the head office or studio is located.
  • Fringe benefit tax and compensation withholding for dealers, hosts, and remote staff.

Group structures that park IP in Singapore and “charge” the Philippine licensee a royalty need transfer-pricing files, not just an invoice.

Player-side taxes and reporting

Philippine tax treatment of player winnings is a separate question from operator franchise tax. Do not advertise “tax-free winnings” unless a current statute or regulation supports the claim for that product and that player residence. Misleading tax claims in ads are both a BIR and a licensing problem (advertising conditions usually require accurate, non-misleading promotions).

Build a tax memo before the lab test

The useful work product is a short tax matrix: entity, license, revenue streams, possible taxes, filing calendar, and open legal questions. Update it when Congress, the BIR, or PAGCOR issues something new. Finance teams should not code GGR “in lieu of all taxes” into the ERP without that memo.
